An agreement/contract between all or some of the shareholders of a company, relating to the ownership and management of the company. It defines the privileges, regulations, protection and obligations of the shareholders. In particular such agreements address the issue of and sometimes ensure minority shareholder liquidity. Shareholders' agreement may also be referred to as a stockholders' agreement in the U.S.
